PwC TLS Avvocati e Commercialisti è lo Studio Professionale member firm del network PwC per la consulenza legale e tributaria. Una delle principali realtà professionali del Paese, porta per connettersi al network internazionale e leader a livello globale.

Per il team Legal Corporate M&A di Firenze, siamo alla ricerca di un/una praticante avvocato/a o avvocato/a neoabilitato/a con una prima esperienza in ambito Corporate M&A e Real estate maturata presso studi strutturati, nazionali o internazionali.
 Il ruolo prevede attività di consulenza e assistenza legale in materia di operazioni straordinarie M&A e Real Estate, tra cui, in particolare:
  • Predisposizione e revisione dei documenti contrattuali nell’ambito di operazioni straordinarie, quali, a titolo esemplificativo, contratti di compravendita (SPA), lettere di intenti, memorandum e altra documentazione correlata;
  • svolgimento e coordinamento delle attività di due diligence;
  • predisposizione e revisione della documentazione societaria e dei documenti ancillari alle operazioni straordinarie;
  • assistenza in operazioni di compravendita, sviluppo e gestione di asset immobiliari, inclusa la redazione e revisione della relativa contrattualistica, eventuali competenze in ambito amministrativo;
  • supporto nelle attività di corporate governance, quali predisposizione di verbali assembleari e di CdA.
     
Requisiti:
  • Ottima conoscenza della lingua inglese, scritta e parlata;
  • motivazione ed entusiasmo per l'attività professionale;
  • proattività, orientamento al risultato e attenzione al dettaglio;
  • buone capacità relazionali e attitudine al lavoro in team;
  • disponibilità a trasferte.
