1. JOB PURPOSE - Provide legal advice and services with a particular focus on Legal Commercial and Operational matters.- Draft, review, and amend legal opinions, agreements and documents.- Ensure conformity with laws and regulations and safeguarding of ADNOC Group’s interests.  2. KEY ACCOUNTABILITIES Job Specific Accountabilities Legal Commercial & Operations Key Accountabilities Provision of legal advice relating to: - PT&CS related agreements, projects and investment transactions;- GC&ICV related agreements, projects and investment transactions;- GBS&ST related agreements, projects and investment transactions;- Procurement and supply chain related agreements, projects and investment transactions- Drilling and oilfield related agreements, projects and activities; and- ADNOC Group Corporate support activities (e.g. recharging, service level arrangements etc.).  Role Summary Key components of the role are: - Provide legal counsel and advice to PT&CS and TEO as a Legal Business Partner;- Provide legal counsel and advice to Business Line Directorates (“BLDs"), Business Support Directorates (“BSDs”), Business Support Functions (“BSFs”) and group companies in relation to commercial and operations related agreements, projects and matters;- Provide legal support to the ADNOC Group for commercial and operations related agreements, projects and matters;- Instruct and supervise external legal counsel advising on legal matters relating to BLDs and group companies under each BLD, including managing and monitoring performance of the external legal counsel along with legal spend and budget; and- Produce legal agreements that reflect the ADNOC Group’s risk appetite, safeguard its best interests and ensure due and proper compliance with all applicable laws as well as to prepare standard form agreements, guidelines and deliver training sessions to BLDs, BSFs, BSDs and group company LGC business unit colleagues on relevant legal requirements for commercial and operations related agreements, save except for non-centralized activities.  Technical Expertise - Relevant experience providing legal advice on commercial and operational related matters.  Budget Management - Input into the development of annual budget in line with the Business Unit’s business objectives and operational plans.  Policies, Systems, Processes & Procedures - Input into the development and implement the appropriate Business Unit policies, processes, systems, standards, procedures, guidelines and internal controls, in order to support execution of the Function’s work programs in line with Company and International standards.- Contribute to the continuous improvements within the Legal Commercial & Operations to achieve and sustain performance levels reflective of external benchmarks.  Performance Management - Contribute to achievement of the Legal Commercial & Operations KPI’s and Performance objectives and establish monitoring mechanisms to ensure delivery of these objectives.- Contribute to analyses of business operations and input into recommendations on the ways to enhance current business practices.  People Management and Development - Input into the development of knowledge, competencies and innovative spirit within the Legal Commercial & Operations.- Input into the initiatives for the training and continuous learning of the developees within the Legal Commercial & Operations.- Support the development of junior Emirati lawyers.  Organisation Structure and Development - Input into the review and evaluation of the Business Unit organisation structure aiming to best utilise human capital while proactively incorporating sustainability into the on-going work practices to meet the business objectives.  Stakeholder Management - Assist VP/Manager/Section Head Legal Commercial & Operations with day-to-day operations of the Legal Disputes & Executive Affairs Business Unit.- Represent Legal Commercial & Operations in various task forces, events and committees.- Prepare, deliver, and present reports.- Collaborate with various internal and external stakeholders.- Assist with the appointment of external lawyers and experts and the assessment of the performance of external lawyers and experts.  Risk Management - Input into Corporate Integrated Risk Management System within the Business Unit.  Innovation and Continuous Improvement - Assist VP/Manager/Section Head Legal Commercial & Operations in promotion of an organisation culture that encourages innovation, enhances employee motivation and supports initiatives for implementation of Change Management to continuously improve the Business Unit operations and services.- Recommend improvements in internal processes against best practices in pursuit of greater efficiency in line with approved standards in order to define intelligent solutions for issues confronting the Business Unit.  Health, Safety, Environment (HSE) and Sustainability - Support the implementation of an HSE culture and compliance with relevant HSE policies, procedures, systems & controls and applicable legislation and sustainability guidelines across the Business Unit in line with ADNOC Code of Practices.  Management Information Systems (MIS) and Reports - Contribute and input into Business Unit MIS and deliver progress reports to provide accurate and timely reports and necessary information to effectively manage operations of the Legal Commercial & Operations Business Unit.  Generic Accountabilities  Supervision - Plan, supervise and coordinate all activities in the assigned area to meet functional objectives.- Train and develop the assigned staff on relevant skills to enable them to become proficient on the job and deliver the respective section objectives.  Budgets - Provide input for preparation of the Function/Division/Department/Section budgets, assist in the implementation of the approved Budget, and work plans to deliver objectives.- Investigate and highlight any significant variances to support effective performance and cost control.  Policies, Systems, Processes & Procedures - Implement approved Function/Division/Department/Section policies, processes, systems, standards and procedures in order to support execution of the work programs in line with Company and International standards.  Performance Management - Contribute to the achievement of the approved Performance Objectives for the Function/Division/Department/ Section in line with the Company Performance framework.  Innovation and Continuous Improvement - Design and implement new tools and techniques to improve the quality and efficiency of operational processes.- Identify improvements in internal processes against best practices in pursuit of greater efficiency in line with best industry standards in order to define intelligent solutions for issues confronting the function.  Health, Safety, Environment (HSE) and Sustainability - Comply with relevant HSE policies, procedures, controls, applicable legislation, and sustainability guidelines in line with international standards, best practices and ADNOC Code of Practices.  Reports - Provide inputs to prepare Function/Division/Department/Section MIS and progress reports for Company Management.  3. COMMUNICATIONS & WORKING RELATIONSHIPS Internal - Contacts with ADNOC’s cross-functional management teams when representing Legal Commercial & Operations.- Contacts with ADNOC Legal, Governance and Compliance leadership.- Regular contacts with legal advisors across ADNOC Group.- Regular contacts with counterparts and focal points of the Business customers across ADNOC Group.  External - Contacts with other lawyers of major governmental, legal, financial, and commercial institutions.- Contacts with suppliers and business partners.- Contacts with external legal firms and advisors.  4. QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS Minimum Qualification - Bachelor Degree in Law  Minimum Experience & Knowledge & Skills - 5 years of Post Qualification Experience in transactional work in a reputable international law firm and/or in-house legal department, preferably within the oil and gas industry.- Excellent English language (written and spoken). Fluent Arabic in addition is an advantage.- Knowledge of applicable legislations and regulations.- Knowledge of business and international best practices.  Professional Certifications - Must be a qualified lawyer in a civil and/or common law jurisdiction.  5.
